Experience
Lynette has practised commercial law for more than 15 years advising clients on purchase and sale of businesses, company structuring and capital raising, trade practices, property transactions and banking and finance transactions. She heads the team that is acting for the Australian Education Trust to acquire and/or establish over 300 childcare centres throughout Australia and New Zealand for lease to ABC Learning Centres.
Commercial property
- Developing agreements to structure property trusts, including due diligence and prospectus creation
- Sale and purchase of commercial and industrial property including contract preparation, due diligence, financing documentation and settlement agreements
- Negotiating and documenting leases of commercial and industrial premises
- Management agreements for childcare centres and other businesses
- Drafting, negotiating and providing advice on management agreements with business operators
- Negotiating alliance agreements with State Governments, charitable bodies, churches and others for the ongoing development of commercial property
- Project management and building arrangements for property development
Banking and finance
- Acting for the Bank of New Zealand Australia, documenting bulk transactions and complex matters for its business customers with regard to security, credit and business aspects
- Negotiating and documenting multi-million dollar loans with various lenders for bulk acquisitions of property throughout Australia and New Zealand
- Preparing security documents including put and call options, mortgages, debentures (fixed or floating or both), guarantees and indemnities (fixed and unlimited), bills of sale, mortgages of life policy, mortgages of lease, charge over money, charge of shares, rights of entry, priority deeds, deeds of subordination, cross-collateralised loans
- Acting for financiers in share buyouts - ensuring compliance with the Financial Assistance Provisions of the Corporations Law Act 2001 so that the company and its directors are not in breach
- Advising on particular industry issues impacting on security documentation including the Gaming Commission, Liquor Licensing, Health Insurance Commission (HIC) and the Australian Community Pharmacy Authority (ACPA)
- Acting for the borrower, a listed property trust, negotiating a $100 million facility from major Australian bank ensuring conditions permitted the trust to conduct business with over 30 properties without continuous communication with the financier
- Acting for listed property trust in $140 million private debt placement in United States and securitisation of the Australian debt.
Corporate
- Preparing business sale agreements, share sale agreements, shareholders agreements, partnership and joint venture agreements.
- Advising managed investment schemes, including constitutions and custody agreements
- Conducting privacy audits and drafting privacy policies for several large organisations
- Documenting company restructures on the retirement of owners, acquisition of new assets or as a prelude to new equity investments
- Advising on restrictive trade practices issues affecting contract negotiation
- Reviewing advertising brochures and marketing campaigns for trade practices compliance
